Terms of Service
GoBrise LLC
Effective date: 26 September 2026
Last updated: 26 September 2026
GoBrise is an early-stage company. These Terms reflect the Service as it exists today; where a feature is planned but not yet available, we say so. We may update these Terms as the Service grows, as described in Section 27.
Contents
1. Acceptance of these Terms
1.1 These Terms of Service (the "Terms") form a binding agreement between GoBrise LLC, a Wyoming limited liability company, United States ("GoBrise", "we", "us", "our"), and the business or individual that registers for, accesses or uses the Service (the "Customer", "you", "your").
1.2 By creating an account, accessing or using the Service, or clicking to accept these Terms, you agree to be bound by them. If you do not agree, you must not use the Service.
1.3 If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "Customer" refers to that entity.
1.4 These Terms apply to all plans, including the Free plan, trials, beta features and paid plans, and to all access to the Service through the dashboard, the chat widget or any other means.
2. Definitions
"Service" means the GoBrise AI-supported customer support platform, including the AI agent, the chat widget, live chat and human handoff, the knowledge base, website import, AI actions (such as lead capture, meeting booking and ticket creation), the customer dashboard at app.gobrise.com, any integrations or APIs where available, associated documentation, and the gobrise.com website.
"Customer Data" means all data, content and information submitted to, generated in or transmitted through the Service by or on behalf of the Customer, including Knowledge Base Content, Conversation Data, account and Team Member records, and configuration settings.
"Knowledge Base Content" means text, documents, pages, articles, FAQs, saved replies, pages imported from a website at the Customer's request, and question-and-answer pairs the Customer saves from resolved conversations, together with derived search indexes and embeddings.
"Conversation Data" means messages, transcripts, metadata, confidence and escalation records, and any information provided by an End User in a conversation through the Customer's Widget, including leads, booking requests and tickets captured in that conversation.
"End User" means a visitor to the Customer's website who interacts with the Widget, the AI agent or the Customer's agents. End Users are not parties to these Terms.
"Team Member" means an individual the Customer invites to its workspace, including agents and administrators.
"Widget" means the embeddable chat interface the Customer installs on its own website, identified by a widget key.
"AI Output" means any response, summary, suggestion, classification, confidence score, action or other content generated by the automated components of the Service.
"AI Provider" means a third-party provider of language model or related AI infrastructure used by GoBrise as a sub-processor.
"Sub-processor" means a third-party service provider engaged by GoBrise to process Customer Data to provide the Service.
"Pricing Page" means the plan, feature and price information published at gobrise.com/pricing, which forms part of these Terms.
"Order Form" means any written or electronic ordering document, quote or enterprise agreement executed between the parties referencing these Terms.
"Privacy Policy" means the GoBrise Privacy Policy published on gobrise.com.
"Data Processing Terms" means GoBrise's data processing terms, as published on gobrise.com or provided on request, together with any Data Processing Agreement executed between the parties.
3. Eligibility
3.1 The Service is a business-to-business product. You may use it only for business, professional or organisational purposes, not as a consumer for personal, family or household use.
3.2 You must be at least 18 years old and legally capable of entering into a binding contract.
3.3 You may not use the Service if you are located in, ordinarily resident in, or organised under the laws of a country or territory subject to comprehensive United States sanctions, or if you are on any applicable restricted-party list. You will comply with all applicable export control, sanctions and anti-corruption laws in connection with the Service.
3.4 You may not access the Service to build, benchmark or market a competing product, or on behalf of a competitor, without our prior written consent.
4. Description of the Service
4.1 GoBrise combines AI-generated replies with human live chat. It includes a knowledge base from which the AI agent answers, escalation and handoff to human agents, a Widget for your website, AI actions such as lead capture, meeting booking and ticket creation, analytics, and, on plans that include it, white-label branding.
4.2 Plans and entitlements. Current plans (including the Free plan and paid plans), features, AI conversation allowances, top-ups and prices are described on the Pricing Page, which forms part of these Terms. Where an Order Form specifies different entitlements, that Order Form governs for that Customer.
4.3 Features not currently available. The following are on our roadmap and are not currently available on any plan: single sign-on and SAML, customer-facing audit logs, configurable automated data retention, regional data residency, self-serve data export, a public API, and third-party integrations. Nothing in these Terms, our marketing material or our roadmap is a commitment to deliver any feature by any date, and you should not subscribe in reliance on any unreleased feature.
4.4 Changes to the Service. We may modify, add or discontinue features as the Service evolves. We will not materially reduce the core functionality of a paid plan during a paid term without reasonable advance notice. If we discontinue a material feature you rely on during a paid term, you may terminate the affected subscription under Section 22.3.
4.5 Availability and support. We aim to keep the Service available and responsive, but we do not currently offer an uptime commitment, service level agreement or guaranteed support response time on any plan.
4.6 Beta features. Features identified as beta, preview or experimental are provided for evaluation only, "as is", may change or be withdrawn at any time, and are used at your own risk.
4.7 No certifications. GoBrise does not currently hold SOC 2, ISO 27001, HIPAA attestation, PCI DSS certification or any other security, privacy or compliance certification. SOC 2 is on our roadmap and has not been obtained. You must not represent to any third party that GoBrise holds a certification it does not hold.
5. Accounts and account security
5.1 You must provide accurate, current and complete registration information and keep it up to date, including billing and notice contacts.
5.2 You are responsible for keeping all credentials and widget keys confidential and for all activity under your account, whether or not authorised by you.
5.3 You must notify us promptly at security@gobrise.com of any suspected unauthorised access, credential compromise or security incident affecting your account.
5.4 You must not share credentials or allow access by anyone other than a Team Member.
5.5 We are not liable for loss arising from your failure to comply with this Section 5.
6. Team Members
6.1 You may invite Team Members within the limits of your plan. You are responsible for their roles and permissions and for removing access promptly when a Team Member leaves or changes role.
6.2 You are responsible for the acts and omissions of your Team Members as if they were your own.
6.3 You are responsible for any notice to, or consent from, your Team Members that applicable law requires for their use of the Service.
6.4 Workspace administrators may be able to access, modify and delete Customer Data. You are responsible for granting administrator rights appropriately.
7. Customer responsibilities
7.1 Deployment and configuration. You are solely responsible for how you deploy and configure the Service, including:
(a) the Knowledge Base Content you add and whether it is accurate, current, lawful and appropriate;
(b) whether AI replies are enabled (they are off by default), and the AI agent's instructions and escalation settings;
(c) where you install the Widget and to whom it is presented;
(d) which AI actions you enable; and
(e) reviewing and monitoring the AI agent's behaviour before and during deployment.
7.2 Suitability. You are responsible for deciding whether the Service suits your industry, use case and regulatory environment. Industry pages, templates and marketing material are for convenience only and are not legal, regulatory or compliance advice.
7.3 Your own legal compliance. You are responsible for complying with all laws applicable to your use of the Service and your relationship with your End Users, including consumer protection, electronic communications, accessibility, sector-specific and data protection law.
7.4 Disclosure to End Users. Where applicable law requires that people be told they are interacting with an AI system, including under the EU AI Act, you are responsible for making that disclosure clearly through your Widget and your own notices.
7.5 Your own terms and notices. You are responsible for publishing your own terms, privacy notice and cookie notice covering the Widget and data collected through it.
7.6 Content under your brand. All Customer Data and all content published under your brand through the Service, including AI Output shown to your End Users, is your responsibility.
7.7 You are responsible for the systems, browsers and connectivity needed to access the Service.
8. AI functionality, AI Output and limitations
8.1 How AI Output is produced. When AI replies are enabled, the AI agent generates responses from your Knowledge Base Content, the conversation context and your configuration. Retrieval is restricted to your own knowledge base. Where your material does not support a reliable answer, the Service is designed to hand the conversation to a human agent rather than guess. A confidence score is recorded for each AI reply and is visible to your team in the dashboard.
8.2 No guarantee of accuracy. AI Output is generated by probabilistic systems and may be incomplete, inaccurate, outdated, misleading or unsuitable, even where your Knowledge Base Content is correct. We do not guarantee the accuracy, completeness, reliability or fitness for purpose of any AI Output, or that the Service will answer or escalate correctly in every case or achieve any particular resolution rate or confidence level.
8.3 Your review and reliance. You are responsible for reviewing the AI agent's behaviour for your use case and for any decision by you or your End Users to rely on AI Output, which is at your own risk. Where an incorrect answer could have significant consequences, you must ensure human review.
8.4 No professional advice. The Service does not provide legal, medical, financial, investment, tax, accounting, insurance, immigration, regulatory or other professional advice, and AI Output must not be presented as such. If your use case touches a regulated field, you are responsible for appropriate disclaimers, escalation and qualified human oversight.
8.5 No automated decisions with legal effect. The Service must not be configured or used to make automated decisions that produce legal effects or similarly significant effects on an individual, including decisions about credit, employment, insurance, housing, education, healthcare or access to essential services.
8.6 Benchmarks and published metrics. Any accuracy benchmark, resolution rate, confidence figure or other metric we publish, including on gobrise.com/trust, is informational only, reflects specific test conditions, does not predict results for your deployment, and is not a warranty, representation or contractual commitment.
8.7 Similar output. AI systems may produce the same or similar output for different customers. We make no representation that AI Output is unique or does not infringe any third-party right.
8.8 Improvement within your account only. Knowledge Base Content, including question-and-answer pairs you choose to save from resolved conversations, is indexed so that your own AI agent answers more accurately. This is confined to your account and never benefits any other customer. See Section 12.
9. Human handoff, live chat and AI actions
9.1 The Service lets conversations move from the AI agent to your human agents, who can take over and view the preceding transcript.
9.2 You are responsible for staffing, training and supervising your own agents, their availability and response times, and the content of their messages. GoBrise does not provide agents to answer your End Users and does not take part in your conversations.
9.3 Escalation depends on your configuration and your agents' availability. We do not guarantee that any conversation will be escalated, that an escalation will be actioned, or that an agent will be available. You must plan for periods when no agent is online.
9.4 You are responsible for any commitment, quotation, refund, booking, ticket, lead record or other statement or action made to or for an End User through the Service, whether made by your agents or generated as AI Output.
10. Knowledge base
10.1 You are responsible for the accuracy, currency, lawfulness and maintenance of your Knowledge Base Content. The quality of AI Output depends directly on it.
10.2 You represent that you own or have all rights and permissions needed to add each item of Knowledge Base Content, including any website you ask us to import pages from, and to have it processed as described in these Terms and the Privacy Policy, including transmission to AI Providers.
10.3 You must not add content that infringes third-party rights, is unlawful, or that you are prohibited from disclosing to a service provider.
10.4 We may index, embed, cache, segment, store, back up and transmit Knowledge Base Content as necessary to operate the Service for you under Section 11.
10.5 We do not verify, moderate or fact-check Knowledge Base Content and have no obligation to do so.
11. Intellectual property and licences
11.1 Your content remains yours. You retain all rights in Customer Data. Nothing in these Terms transfers ownership of Customer Data to GoBrise, and all rights not expressly granted in Section 11.2 are reserved to you.
11.2 Limited licence to us. You grant GoBrise a non-exclusive, worldwide, royalty-free, non-transferable licence (sublicensable only to our Sub-processors and AI Providers for these purposes) during the term of your account to host, store, copy, transmit, reformat, index, embed, cache, segment, back up, display and otherwise process Customer Data solely as reasonably necessary to:
(a) provide, operate, maintain and support the Service for you;
(b) generate AI Output in your account;
(c) build and maintain search indexes and embeddings within your account;
(d) route, escalate and deliver conversations to your Team Members;
(e) perform AI actions you have enabled;
(f) secure the Service, prevent abuse and investigate incidents;
(g) create backups and ensure continuity; and
(h) comply with law.
This licence grants no right to use Customer Data for any other purpose, including development outside your account, marketing, benchmarking against other customers, or AI model training as addressed in Section 12.
11.3 Our intellectual property. We retain all rights in the Service, including its software, models, prompts, system instructions, architecture, interfaces, design, trade marks, logos, documentation and improvements. You receive a limited, non-exclusive, non-transferable, revocable right to use the Service under your plan during the term, and no other rights.
11.4 Restrictions. You must not copy, modify or create derivative works of the Service; reverse engineer it or attempt to discover its source code, models, prompts or system instructions, except where this restriction is prohibited by law; rent, sell, sublicense or provide the Service to third parties except as your plan permits; remove any proprietary notice; or use the Service to develop a competing product.
11.5 Branding. On plans that display "Powered by GoBrise" in the Widget (currently the Free and Starter plans, as shown on the Pricing Page), keeping that attribution visible is a condition of use, and removing, obscuring or suppressing it is a material breach. Removal of GoBrise branding is available only on plans that expressly include white-label, and only while you remain on such a plan.
11.6 AI Output. As between the parties, and to the extent AI Output can be owned, we assign to you any rights we have in AI Output generated in your account, subject to Section 11.3 and your compliance with these Terms.
11.7 Publicity. We will not use your name, logo or a description of your use of the Service in our marketing without your prior written consent.
12. AI training, customer-specific improvement and data separation
12.1 No general model training. GoBrise does not use Customer Data, including Knowledge Base Content and Conversation Data, to train, fine-tune or develop general-purpose or foundation AI models. We use AI Providers and access routes whose published API terms state that submitted content is not used to train their models.
12.2 AI Provider processing. Message content and relevant knowledge base excerpts are sent to AI Providers solely to generate a response, subject to their data processing terms. AI Providers may retain submitted content for a limited period for abuse monitoring, security and legal compliance under their own terms. We will confirm current AI Providers in writing on reasonable request as part of a vendor security review.
12.3 Customer-specific improvement. Indexes and embeddings derived from your Customer Data are used only to operate and improve your own AI agent within your account.
12.4 No cross-customer use. Customer Data is never shared between customer accounts. Every conversation, message and knowledge base entry belongs to exactly one account, and retrieval is restricted to that account's own knowledge base.
12.5 Aggregated data. We may use aggregated or anonymised statistics, such as volumes, latency, error rates and feature adoption, to operate and improve the Service. Such data will not identify you, any Team Member, any End User or any individual.
13. Access to Customer Data by authorised personnel
13.1 Authorised GoBrise personnel and contractors may access Customer Data only where reasonably necessary for:
(a) support: investigating an issue you reported or that we detected on your behalf;
(b) security: investigating suspected unauthorised access or other security incidents;
(c) debugging and reliability: diagnosing errors, data problems, degraded performance or failed AI responses;
(d) abuse prevention: investigating suspected breach of Section 14; and
(e) legal compliance: responding to a valid legal obligation.
13.2 Safeguards. Such access is limited to personnel whose role requires it; subject to confidentiality obligations; performed using anonymised, aggregated or redacted data where sufficient; and, for support, undertaken at your request or with your knowledge wherever practicable. Customer-visible audit logs are on our roadmap and are not currently available.
13.3 We do not access Conversation Data for general browsing, marketing, data-set building or competitive purposes, and content accessed under this Section is not used for AI model training.
13.4 Further detail is in the Privacy Policy.
14. Acceptable use and prohibited activities
14.1 General prohibitions. You must not, and must not permit any Team Member, End User or third party to, use the Service to:
(a) store, transmit or generate content that is unlawful, defamatory, obscene, harassing, hateful, threatening, sexually exploitative, or that infringes any person's rights;
(b) transmit malware or anything designed to disrupt, damage or gain unauthorised access to any system;
(c) overload or abuse the AI system or infrastructure, including through excessive automated requests or circumventing rate or usage limits;
(d) attempt to access or probe another customer's data, accounts, conversations, widget keys or workspace, or circumvent tenant isolation;
(e) scan, penetration-test or attempt to breach the Service's security without our prior written authorisation;
(f) conceal the automated nature of the Service where disclosure is legally required;
(g) resell, sublicense or provide the Service to third parties except as your plan or a separate written reseller agreement permits;
(h) send spam, phishing or fraudulent content, impersonate others or mislead individuals;
(i) scrape or systematically extract data from the Service or copy any part of it by automated means;
(j) benchmark or reverse engineer the Service for competitive purposes without our written consent;
(k) remove required GoBrise attribution contrary to Section 11.5; or
(l) violate any applicable law or third-party right.
14.2 AI-specific prohibitions. You must not, and must not permit any person to:
(a) use prompt injection, jailbreaking or similar techniques to circumvent the Service's guardrails, escalation logic or content restrictions;
(b) attempt to extract model weights, system prompts, internal instructions, retrieval logic or configuration of the Service or any AI Provider;
(c) use the Service or AI Output to train or develop any AI model or build a data set for that purpose;
(d) generate deceptive impersonation of real people, synthetic content presented as authentic, or disinformation;
(e) configure the AI agent contrary to Sections 8.4 or 8.5;
(f) deploy the Service in a manner directed at children without ensuring your own compliance with children's privacy law;
(g) use the Service in any safety-critical context, including medical diagnosis or treatment, emergency response, crisis or self-harm intervention, or any application where failure could cause death, injury or severe damage; or
(h) use the Service for any activity prohibited by an AI Provider's terms that we have made available to you.
14.3 Data restrictions. You must not submit to the Service, and must ensure your Widget does not solicit:
(a) protected health information or data subject to HIPAA;
(b) payment card numbers, security codes or other data subject to PCI DSS;
(c) government identification numbers, financial account credentials or passwords;
(d) special category or sensitive personal data as defined by applicable law;
(e) export-controlled data; or
(f) other data subject to sector-specific regulatory obligations,
unless GoBrise has expressly agreed in writing to support it. GoBrise is not HIPAA-compliant and does not enter into Business Associate Agreements. You are solely responsible for the consequences of submitting prohibited data, and we may remove it on becoming aware of it.
14.4 Enforcement. We may investigate suspected breaches of this Section 14 and remove content, restrict functionality, or suspend or terminate the account under Sections 21 and 22, with notice where reasonably practicable. We may cooperate with law enforcement where required.
15. Data protection and privacy
15.1 Roles. For Conversation Data and personal data collected through your Widget, you are the controller (or business) and GoBrise is the processor (or service provider), processing that data only on your instructions under these Terms, the Privacy Policy and the Data Processing Terms. For your account, billing, Team Member and website-visitor data processed for our own purposes, GoBrise is controller as described in the Privacy Policy.
15.2 Your obligations. You represent and undertake that:
(a) you have a lawful basis for all personal data you collect through your website, Widget and Knowledge Base Content, and for its processing by GoBrise, its Sub-processors and AI Providers;
(b) you have given all required notices and obtained all required consents, including any cookie consent and AI disclosure under Section 7.4;
(c) your instructions will not cause either party to breach data protection law; and
(d) you will respond to requests from individuals about data for which you are controller, and we will assist as described in the Data Processing Terms.
15.3 Sub-processors. We use third-party providers, including cloud hosting and database, AI Providers, website crawling, email delivery, payment processing and monitoring providers, to operate the Service, under terms imposing confidentiality and data protection obligations. Sub-processor categories are set out in the Privacy Policy, and a named list is available on request at sales@gobrise.com.
15.4 Hosting and international processing. The Service is currently hosted in the United States. Customer Data may also be processed in other countries where we, our contractors or Sub-processors operate, including by team members and contractors located in India acting under Section 13. Regional data residency is not currently available. Where the GDPR or UK GDPR applies, Standard Contractual Clauses are available to customers that require them. If you need data to stay in a specific region, you must tell us in writing before subscribing.
15.5 Data Processing Agreement. Customers requiring a signed Data Processing Agreement, Standard Contractual Clauses or a vendor security questionnaire may request them at sales@gobrise.com. An executed Data Processing Agreement prevails over this Section 15 for the processing it covers.
16. Confidentiality
16.1 "Confidential Information" means non-public information disclosed by one party (the "Discloser") to the other (the "Recipient") in connection with the Service that is marked confidential or would reasonably be understood to be confidential, including Customer Data, non-public Service features, unpublished pricing, security information and business plans.
16.2 The Recipient will use Confidential Information only to perform or receive the Service, protect it with at least reasonable care, and disclose it only to employees, contractors, Sub-processors and advisers who need it and are bound by comparable confidentiality obligations.
16.3 Confidential Information excludes information that becomes public through no fault of the Recipient, was lawfully known to it without restriction, is lawfully received from a third party without restriction, or is independently developed.
16.4 The Recipient may disclose Confidential Information where required by law, giving the Discloser prompt notice where legally permitted.
16.5 These obligations continue for three (3) years after termination, and longer for trade secrets and personal data as required by law.
17. Security responsibilities
17.1 Our responsibilities. We maintain measures designed to protect Customer Data as described in the Privacy Policy, including tenant-level isolation with access rules enforced in the database, encryption in transit, encryption at rest as provided by our cloud infrastructure, role-based access control, rate limiting on public widget endpoints, and restriction of widget traffic to the single business tied to its widget key. We do not represent that these measures conform to any certification or standard, and we cannot guarantee absolute security.
17.2 Your responsibilities. You are responsible for security within your control, including credentials and widget keys, access and offboarding in your workspace, the security of the website where the Widget is installed, and configuring the Service so as not to expose sensitive information to End Users.
17.3 Incidents. If we become aware of a personal data breach affecting Customer Data, we will notify you and cooperate as described in the Privacy Policy and Data Processing Terms. You must notify us of incidents under Section 5.3.
17.4 Vulnerability reports. Report suspected vulnerabilities to security@gobrise.com and do not disclose them publicly until we have had a reasonable opportunity to fix them.
18. Third-party services, integrations and APIs
18.1 Third-party integrations and a public API are not currently available. When they become available, enabling any integration will be your decision, and this Section 18 will apply to it.
18.2 Third-party services are not part of the Service and are governed by their own terms and privacy policies. We do not control or assume responsibility for any third-party service, its availability, security or data practices.
18.3 By enabling an integration, you authorise us to send Customer Data to and receive data from that service as needed to operate it, and you represent that you have the right and any necessary consent to do so. Once data reaches a third-party service, we are not responsible for it.
18.4 You are responsible for any credentials you provide for an integration and for revoking them when no longer needed.
18.5 A third-party provider may change or discontinue its service at any time. This is not a breach of these Terms by us, and we have no obligation to maintain any integration.
18.6 Rate limits. We apply rate limits and usage limits to protect the Service, including on the public Widget, and may change or enforce them, or throttle access, to protect stability and other customers.
19. Subscriptions, billing, taxes and plan changes
19.1 Plans and fees. Fees, billing periods, AI conversation allowances and limits are as described on the Pricing Page or in an applicable Order Form. Fees are stated and charged in United States dollars. By subscribing to a paid plan you authorise us and our payment processor to charge the applicable fees using the payment method you provide.
19.2 Payment processing. Payments are processed by a third-party payment processor using the methods offered at checkout. GoBrise does not receive or store full card numbers. You are responsible for keeping payment details current and for any currency conversion or bank charges imposed by your payment provider.
19.3 Automatic renewal. Paid subscriptions renew automatically at the end of each billing period for a further period of the same length at the then-current price for your plan, unless you cancel before the renewal date under Section 20. You authorise recurring charges until you cancel. Where applicable law requires advance renewal notice, we will provide it.
19.4 Price changes. We will give at least thirty (30) days' notice of any price increase to your plan. The new price applies from your first billing period starting after the notice period. If you do not accept the change, you may cancel under Section 20 before it takes effect.
19.5 Failed payments. If a payment fails, we may retry the charge and will notify you. If the amount remains unpaid fourteen (14) days after that notice, we may suspend paid features or move your account to the Free plan under Section 21, and may terminate under Section 22. You remain liable for all amounts accrued.
19.6 Taxes. Fees exclude taxes. You are responsible for all sales, use, VAT, GST and similar taxes arising from your purchase, other than taxes on our net income. If you must withhold any amount, you will gross up the payment so we receive the full amount invoiced. If you are exempt or self-account under a reverse-charge mechanism, you must provide valid documentation and tax registration details.
19.7 Refunds. Paid plans that include a free trial let you evaluate the Service before paying. Accordingly, except where required by applicable law or stated in an Order Form, fees are non-refundable and are not prorated for partial periods, unused AI conversations or top-ups, downgrades or early cancellation.
19.8 Upgrades and downgrades. An upgrade takes effect immediately, and any additional fee is charged as shown at checkout. A downgrade takes effect at the start of your next billing period, with no refund or credit for the current period. A downgrade may reduce features, seats and allowances and may restore "Powered by GoBrise" attribution under Section 11.5.
19.9 AI allowances and top-ups. Each plan includes the AI reply or conversation allowance shown on the Pricing Page. When the allowance for a period is used up, AI replies may pause until the next period or until you buy a top-up, while human live chat continues to work. Unused allowances and top-ups have no cash value.
19.10 Free plan and trials. The Free plan includes 25 AI replies / month and unlimited human live chat, displays non-removable "Powered by GoBrise" attribution under Section 11.5, and is provided "as is" with no commitment of any kind. Free trials of paid plans last for the period shown on the Pricing Page. If you have provided a payment method, the paid plan begins automatically at the end of the trial unless you cancel before it ends. We may change or discontinue the Free plan or trials at any time, and may deactivate a Free account that has been inactive for an extended period, after notice, and delete its data under the Privacy Policy.
20. Cancellation by you
20.1 You may cancel your subscription at any time from the dashboard where available, or by emailing support@gobrise.com.
20.2 Cancellation takes effect at the end of your current billing period. You keep access until then and are not charged for later periods. Except as provided in Section 19.7, no refund is issued for the current period.
20.3 You may close your account entirely at any time, in which case Section 23 applies.
20.4 Cancellation does not relieve you of amounts already due.
21. Suspension
21.1 We may suspend or restrict all or part of the Service, with notice where reasonably practicable, if:
(a) you materially breach these Terms, including Section 14;
(b) fees remain unpaid after the period in Section 19.5;
(c) your use presents a security risk or a risk of material harm to anyone;
(d) your use is, or is reasonably suspected to be, unlawful, fraudulent or abusive;
(e) your use is causing degradation or excessive load;
(f) we are required to by law or a lawful order; or
(g) an AI Provider or Sub-processor requires it.
21.2 Emergency suspension. Where there is an immediate risk of material harm, security compromise, legal liability or service degradation, we may suspend immediately and will notify you as soon as reasonably practicable, explaining what is needed to restore access.
21.3 Suspension does not end these Terms, and fees continue to accrue during a suspension caused by your breach or non-payment. We will restore access promptly once the cause is resolved.
21.4 We are not liable for loss arising from a suspension under this Section 21.
22. Termination
22.1 By you. You may terminate these Terms at any time by cancelling under Section 20 and closing your account.
22.2 By us for cause. We may terminate these Terms and your account, with notice where reasonably practicable, if:
(a) you materially breach these Terms and do not cure the breach within fifteen (15) days of notice, where it can be cured;
(b) you breach Section 14 in a way that cannot be cured or involves illegal activity, harm to others or a serious security or abuse issue, in which case termination may be immediate;
(c) fees remain unpaid after suspension under Section 21;
(d) you become insolvent or enter liquidation or administration; or
(e) we are required to by law or a lawful order.
22.3 Discontinued features. Either party may end a Free plan, trial or month-to-month subscription at the end of the current period. If we discontinue a material feature during a paid term under Section 4.4, you may terminate the affected subscription and receive a prorated refund of prepaid fees for the unused remainder of that term.
22.4 By us with notice. We may discontinue the Service or terminate these Terms for convenience on thirty (30) days' written notice, and will refund prepaid fees for any unused portion of your current term.
22.5 Effect of termination. On termination:
(a) your right to use the Service ends, the Widget and AI agent stop operating, and Team Member access is revoked;
(b) all accrued amounts become immediately due;
(c) each party will, on request, return or destroy the other's Confidential Information, subject to legal retention and Section 23; and
(d) the Sections listed in Section 32 survive.
23. Data export and deletion after termination
23.1 Export. Self-serve data export is not yet available in the dashboard. To obtain a copy of your Customer Data, email support@gobrise.com before closing your account or within the post-termination window described in the Privacy Policy, and we will provide an export in a commonly used format.
23.2 Post-termination handling. After termination, Customer Data is retained and then deleted in line with the Privacy Policy, which is the controlling statement of retention and deletion periods. No different period is stated or implied in these Terms.
23.3 Deletion requests. You may request deletion of Customer Data at any time as described in the Privacy Policy. Deletion is irreversible.
23.4 Retention where required. We may keep Customer Data longer where required by law or reasonably necessary to resolve a dispute or enforce these Terms, and will limit processing to that purpose.
24. Disclaimer of warranties
24.1 The Service, including all AI Output, is provided "AS IS" and "AS AVAILABLE".
24.2 To the maximum extent permitted by law, we disclaim all warranties, express, implied or statutory, including merchantability, satisfactory quality, fitness for a particular purpose, accuracy, title and non-infringement, and any warranty arising from course of dealing or usage of trade.
24.3 We do not warrant that the Service will be uninterrupted, secure or error-free; that defects will be corrected; that it will meet your requirements or achieve any particular result; that it will comply with laws specific to your business or industry; or that Customer Data will not be lost. You are responsible for keeping your own copies of material you cannot afford to lose.
24.4 AI accuracy disclaimer. Without limiting Section 8, we disclaim any warranty that AI Output will be accurate, complete, current, reliable, non-infringing, unbiased, consistent or suitable for any purpose; that the AI agent will escalate correctly or at all; or that any confidence score reflects actual accuracy. You assume all risk arising from reliance on AI Output.
24.5 No advice or information from us creates any warranty not expressly stated in these Terms.
24.6 Beta features, the Free plan and trials are provided with no warranty of any kind.
24.7 Nothing in these Terms excludes any warranty, right or remedy that cannot lawfully be excluded. Where such law applies, our liability is limited to the minimum extent that law permits.
25. Limitation of liability
25.1 Indirect damages. To the maximum extent permitted by law, neither party is liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, business, goodwill, data or data use, business interruption or cost of substitute services, however caused and even if advised of the possibility.
25.2 Aggregate cap. To the maximum extent permitted by law, each party's total aggregate liability arising out of or related to these Terms and the Service, across all claims combined, will not exceed the greater of (a) the amounts paid or payable by you to us in the twelve (12) months before the first event giving rise to liability, or (b) one hundred United States dollars (USD 100).
25.3 AI Output. Without limiting Sections 25.1 and 25.2, we have no liability for loss, claims, regulatory action or reputational harm arising from AI Output, including inaccurate, offensive or infringing AI Output, a failure to escalate, your configuration of the AI agent, or reliance on AI Output by you or your End Users.
25.4 Free plan, trials and beta features. Our total liability for any Free plan, trial or beta feature will not exceed USD 100.
25.5 Exclusions. Sections 25.1, 25.2 and 25.4 do not apply to your obligation to pay fees; your obligations under Section 26; either party's gross negligence, wilful misconduct or fraud; either party's infringement of the other's intellectual property; or any liability that cannot lawfully be limited, including for death or personal injury caused by negligence.
25.6 Essential basis. These limitations are an essential part of the bargain, the fees reflect this allocation of risk, and they apply even if a limited remedy fails of its essential purpose.
25.7 Time limit. Except for non-payment claims, neither party may bring a claim more than twelve (12) months after the cause of action arises, unless applicable law requires a longer period.
26. Indemnification
26.1 By you. You will defend, indemnify and hold harmless GoBrise and its members, officers, employees and contractors from any third-party claim, and resulting losses, damages, settlements, fines, penalties, costs and reasonable legal fees, arising out of:
(a) Customer Data, including any claim that it infringes a third-party right or was submitted without necessary rights or consents;
(b) your breach of Section 14 or Section 15.2;
(c) your deployment, configuration or use of the Service, including content published under your brand and AI Output shown to your End Users;
(d) any claim by an End User, Team Member, regulator or other third party relating to your use of the Service or your handling of a conversation;
(e) your submission of prohibited data contrary to Section 14.3;
(f) your use of the Service contrary to Sections 8.4, 8.5 or 14.2(g); or
(g) your breach of these Terms or applicable law.
26.2 By us. We will defend and indemnify you from any third-party claim alleging that the Service, as provided by us and used in accordance with these Terms, infringes that third party's copyright, trade mark, patent or trade secret, and will pay damages finally awarded or settlements we agree.
26.3 Exclusions. Section 26.2 does not apply to claims arising from Customer Data or AI Output; your modification or combination of the Service with anything we did not provide; use in breach of these Terms or law; third-party services; beta features; the Free plan or trials; or continued use of an allegedly infringing version after we offered a non-infringing alternative.
26.4 Remedies. For a claim under Section 26.2, we may modify the Service to be non-infringing, obtain the right for you to continue using it, or terminate the affected subscription and refund prepaid fees for the unused portion of the term. Sections 26.2 and 26.4 state our entire liability for intellectual property infringement.
26.5 Procedure. The indemnified party must promptly notify the indemnifying party, give it sole control of the defence and settlement (no settlement may impose an unindemnified obligation or admission without consent), and reasonably cooperate at the indemnifying party's expense. Late notice relieves the indemnifying party only to the extent it is materially prejudiced.
27. Changes to these Terms
27.1 We may update these Terms as the Service evolves or as legal requirements change. The "last updated" date identifies the current version.
27.2 Non-material changes, such as clarifications and corrections, take effect on publication.
27.3 For material changes, we will give reasonable advance notice by email to account administrators or in the product. Continued use after the effective date means acceptance. If you do not accept, you may cancel under Section 20 before the change takes effect; if you have prepaid for a term, you may terminate and receive a prorated refund of prepaid fees for the unused remainder.
27.4 Changes required by law, or needed to address a security, abuse or legal risk, may take effect immediately.
27.5 Prior versions are available on request.
28. Notices and electronic communications
28.1 We may give you notice by email to your account address or administrators, or within the Service. Email notice is treated as received on the day sent, unless delivery fails. You are responsible for keeping contact details current.
28.2 Notices to us must be sent to legal@gobrise.com and are treated as received on the next business day.
28.3 You consent to receive all agreements, notices and disclosures electronically, and agree they satisfy any requirement to be in writing.
28.4 Operational, security, billing and legal notices are not marketing and cannot be unsubscribed from while you have an active account.
29. Assignment
29.1 You may not assign or transfer these Terms without our prior written consent. Any attempted assignment in breach of this Section is void.
29.2 We may assign these Terms without your consent to an affiliate or in connection with a merger, acquisition, reorganisation or sale of substantially all our assets, provided the assignee assumes our obligations.
29.3 These Terms bind and benefit the parties' permitted successors and assigns.
30. Force majeure
Neither party is liable for delay or failure to perform (other than payment obligations) caused by circumstances beyond its reasonable control, including natural disaster, epidemic, war, terrorism, civil unrest, government action, sanctions, changes in law, labour disputes, failure of the internet, power, cloud hosting or third-party services, malicious attacks, or the failure or discontinuation of an AI Provider or Sub-processor. The affected party will notify the other promptly and use reasonable efforts to mitigate. If the event continues for more than thirty (30) consecutive days, either party may terminate the affected subscription, and we will refund prepaid fees for the unused portion of the term.
31. General provisions
31.1 Governing law. These Terms and any related dispute are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. The UN Convention on Contracts for the International Sale of Goods does not apply.
31.2 Dispute resolution.
(a) Informal resolution first. Before starting any proceeding, a party must give written notice of the dispute and the parties will try in good faith to resolve it for at least thirty (30) days. This does not apply to claims for injunctive relief or protection of intellectual property or Confidential Information.
(b) Venue. Subject to (a), disputes will be brought exclusively in the state or federal courts located in Wyoming, and each party submits to their jurisdiction, unless applicable law gives you a mandatory right to bring proceedings in your own country.
(c) Equitable relief. Either party may seek injunctive relief in any competent court to protect its intellectual property, Confidential Information or data security.
31.3 Severability. If any provision is held unenforceable, it will be modified to the minimum extent needed to make it enforceable, or severed, and the rest remains in effect.
31.4 No waiver. Failure or delay in exercising a right is not a waiver. A waiver is effective only in writing.
31.5 Entire agreement and order of precedence. These Terms, the Pricing Page, the Privacy Policy, the Data Processing Terms and any Order Form are the entire agreement regarding the Service and supersede all prior understandings. If they conflict, this order applies:
(a) an executed Order Form or enterprise agreement, for its subject matter;
(b) an executed Data Processing Agreement, for personal data processing;
(c) the Data Processing Terms, for personal data processing;
(d) these Terms of Service;
(e) the Privacy Policy, which controls data retention and deletion periods under Section 23.2; and
(f) the Pricing Page.
Terms in any purchase order, vendor portal or procurement form issued by you have no effect unless accepted in writing by an authorised GoBrise representative.
31.6 Independent contractors. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship.
31.7 No third-party beneficiaries. These Terms give no rights to anyone other than the parties and their permitted successors. End Users are not third-party beneficiaries.
31.8 US government end users. The Service is "commercial computer software" under applicable US federal acquisition regulations, and any US Government use is subject to these Terms.
31.9 Anti-corruption. Neither party will offer or give any improper payment or benefit in connection with these Terms, and each will comply with applicable anti-bribery law, including the US Foreign Corrupt Practices Act.
31.10 Language. These Terms are in English, and the English version governs over any translation.
31.11 Headings are for convenience only. "Including" means "including without limitation".
32. Survival
The following survive termination, together with any provision that by its nature should survive: Section 2, Sections 8.2 to 8.8, Section 11 (except the licence in Section 11.2, which ends as provided in Section 23), Section 12, Section 14.3 (for data already submitted), Section 16, Section 19 (for amounts accrued), Section 23, Section 24, Section 25, Section 26, Section 28, Section 29, Section 31 and this Section 32.

34. How these Terms relate to our other documents
34.1 These Terms govern your commercial and operational relationship with GoBrise: access, plans and fees, acceptable use, intellectual property, warranties, liability and termination.
34.2 The Privacy Policy describes what personal data we collect and how we use it, Sub-processor categories, AI training commitments, authorised-personnel access, international transfers, security practices, breach notification, cookies, individual rights, and the controlling retention and deletion periods referred to in Section 23.2.
34.3 The Data Processing Terms govern our processing of personal data as your processor. An executed Data Processing Agreement prevails over the published Data Processing Terms for that Customer.
34.4 These documents are intended to be read together and to be consistent. Where they conflict, Section 31.5 applies. By accepting these Terms you acknowledge the Privacy Policy and accept the Data Processing Terms as they apply to you.
